These Terms of Service ("Terms", "Terms of Service") constitute a legally binding agreement between you and the service provider governing your use of Releventa's contact classification and data quality services (the "Service", "Services").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

3. Description of Service

Releventa provides a data contact classification system and API service that:

• Classifies and validates contact information (primarily email addresses)
• Detects fake, disposable, and low-quality contacts
• Identifies business, personal, and role-based contacts
• Provides data quality metrics and insights

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue the Service at any time with or without notice.

4. Eligibility and Account Registration

To use our Service, you must:

• Be at least 18 years old or have the legal capacity to enter into contracts in your jurisdiction
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates any applicable law or regulation
• Violate or infringe upon the rights of others, including intellectual property rights
• Transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to any part of the Service or related systems
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use the Service to spam, harass, or harm others
• Use automated systems or bots to access the Service in a manner that exceeds reasonable use
• Resell or redistribute the Service without explicit written authorization
• Use the Service to process data that violates privacy laws or regulations

6. API Usage and Limitations

• Excessive usage beyond agreed limits may result in temporary service throttling or suspension
• You are responsible for implementing appropriate rate limiting on your side
• API keys are confidential and must not be shared or exposed in client-side code

7. Pricing and Payment

7.1 Pricing: Service pricing and subscription terms will be communicated to you upon account creation or as part of your service agreement. Pricing may vary based on usage and service tier. All prices exclude applicable taxes unless otherwise stated.

7.2 Payment: Payment terms and billing cycles will be specified in your service agreement or account settings. You authorize us to charge the payment method you provide for all fees incurred in accordance with your service terms.

7.3 Taxes: You are responsible for any applicable taxes, including VAT, based on your location and applicable tax laws. Taxes will be calculated and charged as required by law.

7.4 Refunds: Refund policies will be communicated as part of your service agreement and as specified in Section 10 (Cancellation and Termination).

7.5 Price Changes: We reserve the right to modify pricing and service terms with reasonable advance notice. Any material changes will be communicated to you, and price changes will not affect your current billing cycle but may apply to subsequent renewals or new service agreements.

8. Intellectual Property

8.1 Service Ownership: The Service, including all content, features, functionality, software, and underlying technology, is owned by us and protected by copyright, trademark, and other intellectual property laws.

8.2 License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

8.3 Your Data: You retain all ownership rights to the data you submit to the Service. You grant us a license to use, process, and store your data solely for the purpose of providing the Service.

8.4 Feedback: Any feedback, comments, or suggestions you provide regarding the Service may be used by us without restriction or compensation to you.

9. Data Processing and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

When you submit contact data for classification:

• You represent that you have the legal right to process such data
• You warrant that your use of the Service complies with applicable data protection laws, including GDPR
• You are responsible for ensuring appropriate legal basis for processing third-party contact data

10. Cancellation and Termination

10.1 Cancellation by You: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

10.2 Termination by Us: We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or engage in prohibited activities.

10.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your account and data in accordance with our data retention policies (see Privacy Policy).

10.4 Refunds: No refunds will be provided for partially used subscription periods, except as required by applicable law or as specified in your service agreement.

11. Service Availability and Warranties

11.1 Availability: We strive to maintain high service availability but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, or unforeseen circumstances.

11.2 Service Level: While we aim for high uptime, we do not provide specific Service Level Agreements (SLAs) unless explicitly stated in a separate agreement.

11.3 Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.4 Accuracy: While we strive for accuracy in our classification results, we do not guarantee 100% accuracy and are not liable for decisions made based on our service results.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption
• These limitations do not affect our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Evghenii Cucias and our affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, violation of these Terms, or infringement of any rights of another party.

14. Dispute Resolution

14.1 Applicable Law: These Terms shall be governed by and construed in accordance with Spanish law, without regard to conflict of law provisions.

14.2 Jurisdiction: Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain. However, as a consumer, you may also have the right to bring proceedings in the courts of your country of residence if you are a consumer resident in the European Union.

14.3 Mediation: Before resorting to court proceedings, parties agree to attempt to resolve disputes through good faith negotiation or mediation.

15. Consumer Rights (EU/Spanish Law)

If you are a consumer in the European Union or Spain, you have additional rights under consumer protection laws:

• Right of withdrawal: If applicable, you may have the right to withdraw from the contract within 14 days of subscription (where services have not been fully performed)
• Right to information: You have the right to clear and comprehensible information about the Service
• Prohibition of unfair terms: Unfair contract terms are not binding on consumers

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that comes closest to the intent of the original provision.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
